Terms of Service
These Terms of Service (“Terms”) govern your use of ZI (the “Service”), operated by Nomadis (“we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
1. The Service
ZI provides tools to monitor HTTP endpoints and related health signals, including checks, history, alerts, and dashboard features. We may add, change, or discontinue features with reasonable notice where practicable.
2. Eligibility and accounts
You must be able to form a binding contract in your jurisdiction. If the Service uses third-party authentication (for example Clerk), your use of that provider is also subject to their terms and privacy policy. You are responsible for safeguarding your credentials and for activity under your account.
3. Your responsibilities
You agree to:
- Provide accurate information and keep it current where the Service asks for it.
- Use the Service only for lawful purposes and in compliance with applicable laws.
- Not misuse the Service, including probing, scanning, or overloading systems you do not own or lack permission to test, or attempting to circumvent security or access controls.
- Ensure you have the right to monitor any URL or resource you configure in the Service.
4. URLs and third-party services
You may configure the Service to request URLs you specify. Those targets are operated by you or third parties; we are not responsible for their availability, content, or policies. Your use of third-party services (including authentication providers) is between you and those parties.
5. Intellectual property
The Service, its branding, and its software are owned by us or our licensors. These Terms do not grant you any rights to our trademarks or to copy or resell the Service except as expressly allowed.
6. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MONITORING AND ALERTS ARE INFORMATIONAL; THEY DO NOT GUARANTEE UPTIME OR THAT INCIDENTS WILL BE DETECTED OR PREVENTED.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
8. Indemnity
You will defend and indemnify us and our affiliates, officers, and employees against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content or configuration (including monitored URLs), or your violation of these Terms.
9. Suspension and termination
We may suspend or terminate access to the Service if you materially breach these Terms, if we must comply with law, or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive (including disclaimers, limitations, and indemnity) will survive termination.
10. Changes
We may update these Terms by posting a revised version and updating the “Last updated” date. If changes are material, we will use reasonable means to notify you (for example, a notice in the Service or by email). Continued use after the effective date constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws applicable in your primary place of business or residence, excluding conflict-of-law rules, unless a different governing law is required by mandatory local law. Courts in that jurisdiction will have exclusive venue, subject to mandatory consumer protections where they apply.
